Due Diligence
We review projects at every stage of development – from the early securing of land, through projects ready for construction, to ongoing operation and repowering. Our due diligence is tailored to the issues that determine a project’s feasibility, timetable and value:
- Company and structure: project companies, shareholdings and voting rights, shareholders’ agreements
- Permits: environmental protection, building and planning permissions, including ancillary provisions, deadlines, compliance with conditions and third-party legal remedies
- Land: Land use, lease and licence agreements, easements and building encumbrances, rights of way and access rights, cable routes
- Grid: Grid interconnection points, grid connection and connection usage agreements, construction cost subsidies, connection deadlines
- Revenue side: Surcharges and remuneration, PPAs, marketing agreements
- Contracts and construction: project, supply, construction and maintenance contracts, warranty statuses, security and outstanding claims
- Financing: existing loan and security agreements, consent requirements, conditions for disbursement
We do not simply provide a list of findings, but rather an assessment: what is truly relevant to the deal, what can be rectified before completion, what should be included in warranties, indemnities, purchase price adjustments or conditions precedent – and what constitutes a reason to restructure the transaction or renegotiate the price.
On the seller’s side, we reverse the perspective: we prepare projects for the process, resolve foreseeable issues at an early stage and support tender processes right through to the signing of the contract.
Buying and Selling
We structure transactions as share or asset deals, draft and negotiate purchase agreements, and tailor the allocation of risk to the project’s stage of development – for projects under development, for example, through milestone structures, staggered purchase prices and reversal mechanisms. We negotiate warranties, indemnities and liability regimes, coordinate the conditions precedent and manage the signing and closing processes. Following closing, we support integration, milestone and purchase price settlements and, where necessary, the enforcement of claims arising from the purchase agreement.
Project Development and Partnerships
We also structure collaborations: joint venture, cooperation and project development agreements between developers, investors and local partners, including exit, pre-emption and deadlock provisions.
During the development phase, we help to secure land and project rights: we negotiate land use, lease and licence agreements and support the planning permission process, advise on ancillary provisions and represent project developers in the event of appeals by third parties and environmental organisations.
With regard to grid connection, we advise on connection points and capacity, grid connection and connection usage agreements, and construction cost subsidies – and enforce claims against grid operators, if necessary through interim relief proceedings.
Project Contracts and Construction
For the implementation phase, we draft and negotiate the entire suite of contracts: turbine supply, EPC and construction contracts, eBoP and cBoP contracts, grid connection and infrastructure usage contracts, as well as maintenance and operations management contracts – whether awarded individually or under a multi-contracting model, taking into account interfaces, timetables, provisions on delay and availability, and security arrangements.
